A pioneer in technology transactions, Steve has been effectively negotiating, structuring and closing tech transactions from the very infancy of the industry. Steve’s clients include both established and emerging companies and recognizable brands seeking to create and leverage new technological platforms and business models.

He has negotiated and closed a broad range of technology transactions, ranging from software, technology and IP licensing, cloud computing, SaaS and digital media and distribution to joint ventures and developments, strategic alliances, mergers, asset transactions and other forms of monetization.

Steve began his career advising on securities, tax and M&A matters, which led to his work on financing major transactions. Over his five decades of practice, Steve has also advised on complex financings, large securitizations of financial assets and wholesale mortgage transactions. In addition, he counsels utility clients on various transactions including the purchase and sale of generating assets, power purchase agreements and other transactions related to generating and storage facilities.

An outstanding and proven negotiator and draftsman, Steve understands how deals should be structured to benefit both sides — particularly his clients.

  • Assisted client with the merger of insurance agency.
  • Barnes & Thornburg attorneys represented Paragon Medical, Inc. in its merger agreement with an affiliate of Beecken Petty O'Keefe & Company, a Chicago-based private equity firm focused exclusively on the health care industry. The company’s new partner positions Paragon well to execute on its organic and inorganic growth initiatives. The transaction is expected to close in early December 2013.

    Paragon Medical is a tier 1 supplier of world-class solutions for custom and standard surgical instrument delivery systems, custom and standard surgical instrumentation, implantable components and design and development services to the medical device marketplace.
  • Barnes & Thornburg represented a Fortune 500 company that provides insurance, banking, investments and retirement products to military customers in the negotiation and execution of a mortgage loan purchase and servicing agreement with an aggregator of prime jumbo residential mortgage loans. We also advised on a related subservicing agreement with a mortgage origination and services company. The agreement allows the client to begin originating jumbo residential mortgage loans to its members. The loans will be sold to the aggregator of prime jumbo loans on a flow basis for potential future securitization or other transactions. The client will maintain ownership of the servicing rights and will subservice the loans using the third-party mortgage origination and services company.
