Depth of experience, meticulous attention to detail, the highest commitment to excellent service and client care, and the ability to serve as a catalyst for negotiating and closing an array of financial transactions are at the heart of Angela Wessler’s lending and structured finance practice.

Angela advises clients on a broad range of financial, commercial and creditors’ rights issues. She represents commercial lenders and borrowers in connection with syndicated lending, secured transactions, agribusiness lending, ESOP lending and real estate lending transactions, as well as taxable and tax-exempt bond, private placement and asset-based financings. She guides clients through workouts and loan restructurings, advises on Uniform Commercial Code issues, and provides general representation to secured creditors. Angela also represents borrowers and guarantors in connection with corporate finance transactions as well.

Angela is personally committed to serving as a diligent problem solver and responsive and trusted adviser who focuses on shepherding transaction constituents toward closing.

With nearly two decades of experience advising on the legalities of financing, Angela remains acutely aware of the increasingly complex economy and stringent regulatory environment in which financial institutions and borrowers operate. She seeks to develop innovative and novel transaction structures for commercial lenders involved in specialized industries and markets, and she has broad experience in documenting transactions involving high-stakes and challenging collateral issues.

  • Representation of administrative agent/collateral agent/lender/letter of credit issuer in connection with a $34,500,000 syndicated term loan facility and a $5,000,000 revolving loan facility to a borrower in the radio broadcast industry.
  • Representation of a public company engaged in the retail business as the target/subsidiary to be merged in connection with a $315,000,000 syndicated revolving loan facility.
  • Representation of an energy company and its subsidiaries as Borrower/Guarantors in connection with a $100,000,000 term loan transaction financed by a private equity firm and a $25,000,000 syndicated revolving credit facility.
  • Representation of administrative agent/collateral agent/lender/letter of credit issuer in connection with a $125,000,000 syndicated revolving loan facility to a borrower in the packaged food industry.
  • Representation of lender in connection with $39,480,000 revolving credit facility secured by a borrowing base consisting of skilled nursing facility real property assets.
  • Represented a major financial institution as the sole lender on a $38,000,000 term real estate loan.
  • Represented a major financial institution as the Agent/Lender in connection with the purchase of revolving line taxable notes valued at $10 million and issued under a Master Trust Indenture in the utilities industry.
  • Represented an Ohio based financial institution in multiple transactions including:
    • As the lender in connection with $4.7 million in secured acquisition financing.
    • As the lender in connection with a $10 million construction loan to a trade union.
    • As the lender in connection with a $3.3 million term loan with a revolving line.
