We regularly assist our banking clients in carrying out mergers and acquisitions with other banks and financial services providers. Our experience includes, negotiating the merger agreement, preparing and filing a Form S-4 Registration Statement with the SEC if securities are to be issued in the transaction, and filing the appropriate applications and notices with the OCC, the FDIC, the Federal Reserve Board, and/or state banking agencies. We regularly interact with these bank regulatory agencies on antitrust issues that may arise as a result of in-market mergers or branch acquisitions. Additionally, we represent non-bank financial services providers, including mortgage companies, in implementing their merger and acquisition strategies.
