In this fast-paced, interactive seminar, our partners will share insights and wisdom gained from years of conducting due diligence into critical compliance areas, such as anti-corruption, government contracting, environmental, import/export practices and data transfers. Through a series of hypothetical scenarios, we will explore best practices for examining and addressing potential compliance issues during your due diligence process, in your acquisition agreement, and immediately post-acquisition. These practices are intended to help you evaluate whether you have the appropriate procedures and provisions to mitigate your compliance risk than you are prepared to manage. Our lawyers will discuss:
- Identifying areas of risk
- Effectively staffing your due diligence team, including selecting outside experts
- Efficient due diligence practices
- Due diligence as issue-spotting, not issue eradication
- Including proper indemnification provisions and hold-backs in your acquisition agreement
