Jason Myers focuses his practice on commercial real estate and finance, calling upon wide-ranging transactional experience to offer a thoughtful multi-perspective, problem-solving approach to help clients meet their business objectives.

Jason’s prior in-house legal and business roles enable him to team with his clients practical, results-driven solutions. Clients often turn to Jason for large-scale transactions requiring a combination of high-level legal skills and outside-the-box creativity.

His experience in private practice includes traditional real estate and finance transactions, as well as projects in the energy, public-private partnership, M&A, and economic development sectors.

Before entering private practice, Jason was vice president of asset management for a real estate developer and independent power producer with responsibilities that included financial modeling, regulatory and covenant compliance, and investor relations. In his legal career, Jason led the financial services legal team for a global private equity firm as well as worked at prominent international and regional law firms. His vast experiences enable Jason to identify issues early and to reach efficient and effective outcomes.

EXPERIENCE
Experience

Real Estate Finance and Transactions

  • Represented the City of Arlington, Texas, as the primary real estate attorney in negotiations with the Dallas Cowboys to build the new Cowboys Stadium.
  • Represented an institutional lender in the origination and material modification of loans totaling in excess of $1.5 billion secured by a variety of real estate assets such as multifamily apartment complexes, office buildings, self-storage facilities, and industrial warehouses.
  • Represented insurance company lender in major restructuring and ultimate payoff of $110 million loan on high-profile mixed-use facility in North Texas.
  • Represented an independent power generation company as optionee/lessee in drafting and negotiating an Option Agreement and Lease Agreement in connection with the development of a utility-scale solar project in Texas.
  • Represented the US-based owner in the development, financing, and leasing of a shopping center in Sarajevo, Bosnia and Herzegovina.
  • Served as lead real estate counsel supervising a team of lawyers, paralegals, and local counsel on all real estate matters in the firm's representation of a joint venture's acquisition and financing of a crude oil refinery and 166 convenience stores.

Financial Services Transactions

  • Negotiated and closed over $20 billion in new or materially restructured subscription credit facilities.
  • Represented corporate (industrial manufacturer and distributor) borrower in $75,000,000 asset-back lending working capital facility.
  • Represented corporate (energy services) borrower in a series of M&A acquisition financings.
  • Represented corporate (specialty retail product) borrower in the origination and subsequent increase of $50,000,000 factoring facility.
  • Managed litigation and outside counsel in connection with two separate trials over disputes related to derivatives under English law.
  • Represented U.S. subsidiary of U.K.-parent borrower in a cross-border credit facility that required a guaranty and mortgage by the subsidiary.
