Frances Rivera-Medero is an experienced corporate attorney who assists clients in understanding and negotiating corporate agreements. With a client-service focus, Frances is diligent about bringing an efficient and friendly tone to the deal table when helping her clients in their negotiations.

Frances is dedicated to cultivating meaningful relationships with her clients and colleagues alike. She has counseled clients on entity formation and operational issues, and negotiates various business agreements, non-disclosure agreements, release letters and related documents. 

In private practice for more than 15 years, she has drafted limited liability company operating and partnership agreements, participated in restructurings and acquisitions,  provided advice to individuals, small businesses and charitable and nonprofit organizations on federal, state and local tax issues, and obtained exempt status for certain organizations under federal and state taxing regulations. She also has served as REIT counsel in connection with tenant services and securities filings; conducted related due diligence; and drafted tax provisions and REIT tax opinions; and prepared applications for FIRPTA withholding certificates in connection with real estate transactions. 

Frances is tri-lingual and she effectively uses her skills and cultural knowledge to better understand and meet her clients’ needs – even providing them with legal translation and interpretation assistance.
