Our transactional experience includes, among others, taxable and tax-free M&A; restructurings and recapitalizations, including debt restructurings in and outside of bankruptcy, capital markets offerings, real estate and REIT transactions, joint ventures, spinoffs, and dispositions. We are especially familiar with transactions in specialized industry sectors such as financial services and fintech, healthcare and life sciences, music and entertainment, real estate and REITs, and energy, utilities and infrastructure, including renewable energy.
We advise on the tax ramifications for virtually all forms and sizes of transactions – from family transactions involving the sale of a private, locally owned business to cross-border corporate transactions for our multinational Fortune 500 and other international clients. Our focus is on middle-market transactions with gross values up to $500 million, although we have deep experience in deals valued from $20 million to $250 million and often advise on transactions each year above that range.

We are fluent in the tax issues associated with U.S. taxable, U.S. tax-exempt and non-U.S. investors and sponsors.
