Jeremy Reidy counsels businesses in mergers, acquisitions and other corporate law matters. Jeremy embraces a legal project management framework designed to better enable the firm and his clients to plan, manage, facilitate and effectuate transactions. He remains committed to going beyond the closing of the business transaction and provide guidance regarding the integration and other transition issues.

Jeremy works with business owners on M&A transactions and other corporate and commercial matters with a focus on outlining clear communication channels for more effective collaboration, monitoring and coordination during the course of the transaction. He works with clients to create a framework for accountability, transparency, consistency and predictability. He also seeks to allocate resources efficiently and establish accurate budgeting, scheduling and periodic reporting at key intervals during the course of a project to avoid surprises.

In addition to his M&A practice, Jeremy counsels clients on the spectrum of business transactions and general business matters, including joint ventures, corporate finance transactions, restructurings, intellectual property licensing and corporate governance. He is dedicated to working with clients to help find innovative solutions to achieve their strategic objectives involving structuring acquisitions and other growth strategies. Jeremy also works closely and collaborates with his clients to meet their business objectives in a creative, efficient and cost-effective manner.

Jeremy is involved with clients from a range of industries, such as manufacturing, financial services, information systems, healthcare, construction and retail, to name a few. His approach to client service is focused on gaining a sound understanding of his clients’ businesses. He identifies global, legal, economic and political trends that may present challenges to and opportunities for his clients’ businesses.   • Served as lead counsel in the acquisition of the stock of one of the largest search and recruitment organizations in the world, which is comprised of nearly 400 franchised search and recruitment firms
  • Served as lead counsel representing a private healthcare IT company in its reverse merger transaction with a private equity firm, which had over 300 individual shareholders who had invested in five different classes of stock over a more than 10-year period; guided the client through the transactional negotiations and two different formal shareholder meetings with associated proxy materials.
  • Served as lead counsel representing a global consumer and commercial services company in its $420,000,000 acquisition of the stock of one of the ten largest companies in its industry
  • Served as lead counsel representing a freight broker in its strategic acquisition of the assets of another freight brokerage company, which positioned the client as a top national freight broker and resulted in a combined company with approximately 130 employees and $145 million in annual revenue. This transaction won the Association for Corporate Growth - Indiana Chapter’s Small Cap Corporate Value Award in April 2019, due to the deal’s creation of a significant corporate value for its stakeholders.
  • Represented the shareholders of Marquis Consulting Services, Inc. in a transaction in which Marquis was acquired by Gemalto, Inc., a world leader in digital security. Gemalto acquired all of the outstanding shares of Marquis, a primary provider of fully integrated services for drivers' license identification across the U.S. Gemalto's global headquarters is in Amsterdam with a presence in 44 countries throughout the world. Marquis is headquartered in Fort Wayne. Jeremy Reidy of the Fort Wayne office led the transaction team, which included Tuck Hopkins, Lisa Starks and Rebecca Johnson of the Fort Wayne office; Mina Amir-Mokri and Melissa Vallone of the Chicago office; Cassandra Best of the Atlanta office; Josh Hollingsworth, Tim Riffle, Michala Irons and Dave Durm of the Indianapolis office; and Karen McGee and Linda Weinberg of the Washington, D.C., office.
  • Represented Alloy Custom Products, Inc., a manufacturer of cryogenic transportation products, in its sale to a subsidiary of Trinity Industries, Inc., a diversified industrial company that provides products and services to the energy, transportation, chemical and construction sectors. The acquisition allowed Trinity Industries, Inc. to capitalize on increasing demand opportunities to provide cryogenic storage and transportation products, as a result of the energy renaissance occurring in North America.
  • Represented long-time client Horizon Bank in its acquisition of LaPorte Bancorp, Inc. for $94 million, which was the client's largest acquisition to date and positioned it as the largest Indiana-based bank in LaPorte and the surrounding markets.
