We have deep experience in the commercial contracts typically entered into by hedge funds, including research services agreement and consultant agreements.

Working closely with internal counsel, the commercial contracts group handles and negotiates a wide range of contracts covering our clients’ commercial and organizational operations. We understand that not every contract should be packed with legalese – we work essential protections into straightforward and user-friendly contracts.

In addition, we provide strategic counseling as it relates to negotiations of commercial agreements and the sale and purchase of goods or services. Because we take the time to understand the clients’ business and goals, we handle engagement and adviser agreements that cover nearly all aspects of clients’ operations, ranging from data service providers, construction, operations, air travel and charter contracts, vendors, and employment and recruiting firms.

We collaborate with clients to define and compose the terms of licensing agreements, software agreements, application programming interface (API) agreements, data services agreements, sales contracts, payment obligations, purchase orders and vendor agreements tailored to their needs. And we are prepared to advocate and enforce your rights. In particular, with respect to technology procurement, we have thorough experience working on SaaS, PaaS and LaaS agreements, proof of concept agreements, professional services agreements, statements of work, purchasing agreements, hardware support agreements, co-location and outsourcing agreements, network services and circuit procurements, and independent contractor agreements, among others.

Our attorneys also routinely work on data privacy, data warehousing and other data-related documents, and help companies analyze and mitigate risks related to the collection, storage, use and distribution of data. Notably, we help many of our clients establish risk management policies, business continuity procedures, cyber insurance coverage, and data breach responses. We keep abreast of the constantly changing international, U.S. federal and state laws and regulations governing specific industries as well as businesses in general.

On the corporate side, we also advise clients in establishing and building local, regional, national and international distribution networks, and work to address and minimize the legal issues that distribution relationships produce.
