With a practice focused on representing venture capital funds and investors in private equity transactions, as well as startup companies and private and public companies in the mature stages of their growth, William strives to understand the challenges affecting his clients’ businesses and then assists in solving those issues in the most efficient manner possible.
As such, William represents clients in public securities offerings, private placements, corporate governance and reorganization matters, and mergers and acquisitions. He drafts, analyzes and revises 10-Ks, 10-Qs, 8-Ks, proxy statements and other SEC filings. He also reviews and provides analysis for various states’ blue-sky laws to confirm state-level securities registration exemptions. Additionally, he assists company directors, officers and stockholders with Section 16 compliance.
While playing basketball professionally in Qatar and working in the mortgage industry, William negotiated his own employment contracts and assisted individuals with negotiating mortgage workout options. Both experiences showed him how and where the assistance of a knowledgeable attorney could make the necessary processes less cumbersome and more productive.
Prior to joining the firm, William gained a vast majority of his experience as an associate with a national firm in Nashville, Tennessee.
