Barnes & Thornburg Advises BrightSpring Health Services in Secondary Offering and Concurrent Share Repurchase


 

Barnes & Thornburg represented BrightSpring Health Services, a provider of home and community-based health services, in a $431.7 million secondary offering by selling stockholders. 

The selling stockholders, including affiliates of Kohlberg Kravis Roberts & Co. and certain members of BrightSpring’s management team, received all of the proceeds from the offering of 15 million shares. The company also purchased 1.5 million shares from the underwriter as part of the offering.

The offering and the share repurchase closed on Oct. 22, 2025. 

Based in Louisville, Kentucky, BrightSpring delivers complementary pharmacy and provider services to complex patients in lower-cost homes and community settings. The company operates in 50 states, serving more than 440,000 patients daily through its approximately 10,000 clinical providers and pharmacists.

The B&T deal team was led by partners Jay Knight, Taylor Wirth and Jeff Hopper, and associates Kathleen Martini and Caylyn Harvey.
