Jahan Sharifi has deep experience – nearly 25 years – representing private investment funds and other financial investors in structuring and consummating investments and acquisitions in a wide range of industries in the U.S. and around the world.

Jahan Sharifi has deep experience – nearly 25 years – representing private investment funds and other financial investors in structuring and consummating investments and acquisitions in a wide range of industries in the U.S. and around the world.

As co-chair of the Investment Funds and Asset Management practice, Jahan provides counsel on investment and financing transactions, including private equity transactions, venture capital and growth equity investments, mergers and acquisitions, recapitalizations, post-reorganization equity, private investment in public equity transactions (PIPEs), joint ventures and other specialized investment structures.

He has significant experience working with lenders and investors in the marketplace lending space. In the course of these transactions, Jahan leverages his broad knowledge negotiating appropriate rights and protections for minority and majority investors, investment syndicates, and management. 

Jahan assists with the formation and structuring of new private investment funds and complex investment vehicles and represents fund sponsors and investors in negotiating seed investments in new management companies and new funds.

Understanding market standards for nondisclosure and confidentiality agreements, Jahan also advises clients on complex issues relating to the receipt of confidential information in both private and public investment situations. As a trusted adviser, he is relied upon for his savvy deal guidance, which he provides with a steady demeanor and helpful approach.

  • Hedge fund in making a PIPE investment to provide financing to a special purpose acquisition company for the acquisition of a group of specialty commercial real estate finance companies
  • Hedge fund in private convertible note financing of family-owned Latin American pharmaceutical distribution business
  • Hedge funds in negotiating joint ventures to provide shipping finance, to invest in music royalty interests and to fund litigation claims
  • Real estate development company in negotiating joint venture terms for development in Kazakhstan
  • Family office in acquisitions of a specialty pharmacy and home medical equipment distributor 
  • Acquisition of a leading factoring and commercial finance business
  • Acquisition of a U.S.-based consumer lending platform by a Canadian marketplace lender
  • Shareholder group in the sale of a Mexican pharmaceutical distribution company
  • Lead shareholder in the sale of a radio and digital media company
  • Hedge funds in multiple early- and late-stage venture capital investments and growth equity, and secondary purchases of private equity securities
