With attention to detail and open communication, corporate attorney Tiffany Tran focuses her practice in the areas of mergers and acquisitions, private equity, corporate finance and general corporate governance. She represents public and private companies, startups and nonprofits across diverse industries, including automotive, food and beverage and healthcare, in an array of corporate matters.
Tiffany advises clients on corporate matters, including formations, day-to-day operational issues and compliance with federal and state statutes. She drafts, reviews and negotiates transactional documents, varying from stock and asset purchase, co-manufacturing, and supply and distribution agreements to financing documents.
Having grown up in a small family business, Tiffany pays close attention to the advantages or disadvantages of taking particular positions, making certain that her clients’ desires are accurately represented. She believes in consistently showing her clients they are her top priority – not only in advising and representing them – but by keeping on top of the issues important to them.
With a particular interest in working with nonprofit organizations and entities, Tiffany assisted an Illinois nonprofit educational institution on general governance matters, including drafting corporate resolutions, advising on legislation regarding voting by proxy, and informing clients on member and director rights and their corresponding fiduciary duties. She has also assisted Illinois nonprofit corporations by conducting the due diligence necessary for stock and asset purchase agreements.
During law school, Tiffany served as a law clerk, where she honed her drafting skills while creating transactional documents. In addition, she was president of the Corporate Law Society, co-chair of the Philanthropy and Diversity and Inclusion committees of the Student Bar Association, and secretary of the Asian Pacific American Law Student Association.
