Michael also counsels clients on a wide array of business, legal and corporate governance matters.
Michael’s experience includes mergers, acquisitions, divestitures, joint ventures, commercial contracts and related general corporate matters. Additionally, he counsels businesses and investors in investing and capital raising activities, including fund formations and re-capitalizations, private equity investments, secondary sale transactions, private placements and equity capital raises.
He regularly represents public and private companies in various merger, acquisition and divestiture transactions both on the buy-side and the sell-side. He has represented investors in a wide array of private equity investments, including private equity funds, direct equity co-investments and equity tag-along investments.
Michael has also represented private equity sponsors in the recapitalization and conversion of a closed-end real estate fund into an open-end fund, as well as private equity platforms in their acquisitions of standalone businesses and carve-out purchases of operating divisions within larger businesses.
While at the University of Pennsylvania, Michael was B-side captain of the rugby team and president of the Kappa Sigma Fraternity.
