Melissa Vallone and Jeff Gray of the Chicago office gave a presentation to the Finance and Contract Administration Council of the Water and Wastewater Equipment Manufacturers Association on May 13. The firm also hosted the council's meeting. Melissa and Jeff discussed key concepts in OEM and licensing agreements, such as avoiding agreements to agree, protecting IP rights, royalty structures, termination concepts and rights that survive, and understanding that the boilerplate terms have real meaning and consequences.
