Corporate trust and agency legal services are provided across public finance, project finance, corporate debt, syndicated lending, and structured finance transactions (including energy prepay structures), as well as custodial arrangements, tax-exempt tender option bond (TOB) programs, taxable and tax-exempt secondary market leverage structures, and CMBS and RMBS securitizations and other capital markets transactions.  

Our attorneys have worked across a wide range of market roles, including in the primary market as indenture trustee, collateral agent, depositary, master servicer, paying agent, loan agent, escrow agent, and securities depository, administrator, or intermediary; and in the secondary market as custodian and indenture, agreement, or trust trustee.

We are well versed in the documentation standards and internal policies of major corporate trustees and routinely provide enforceability opinions on trust documents under New York, Delaware, California, and other applicable state laws. Our corporate trust litigators have extensive experience in state and federal courts nationwide and regularly prepare and litigate Trust Instruction Petitions under the Minnesota Trust Code to secure court-directed guidance, liability protection, and finality for all parties involved.
