Hospitals and Healthcare Facilities Better health

The Barnes & Thornburg Healthcare Department provides hospitals and healthcare facilities with legal guidance on numerous operational and compliance matters. We represent two nonprofit hospital systems in northern Indiana consisting of five acute care hospitals along with surgery centers, specialty facilities, home health agencies and physician practices. In addition, our attorneys serve as healthcare regulatory counsel to many other independent community-owned hospitals in Indiana, as well as throughout Illinois, California, Florida and Hawaii. Our clients across the country include for-profit and tax-exempt entities, specialty hospitals, physician-owned hospitals, ambulatory surgery centers and hospital-physician joint ventures.

Our Healthcare Department attorneys provide a wide range of services to our hospital and healthcare facility clients including drafting, reviewing and negotiating a wide variety of contracts such as physician employment agreements, professional services agreements, call coverage agreements, research agreements, lease agreements, physician recruitment agreements, transfer agreements, hospice services and management agreements. We also assist our clients with the handling of their business transactions including mergers and acquisitions and asset purchase agreements.

We have expertise in both the formation of provider-based departments and joint ventures involving for-profit and tax-exempt entities.

We provide counsel regularly to our hospital and healthcare facility clients on litigating complex matters, drafting and implementing system-wide compliance plans, licensing and certification issues, complying with tax-exempt bond requirements, assisting with CMS and Joint Commission Surveys, preparing and conducting medical staff peer review and hearings, drafting and interpreting medical staff bylaws and rules and regulations, drafting and implementing corrective action plans, forming Institutional Review Boards (IRBS), and advising on governance issues for tax-exempt hospital board of directors.

We also advise hospital and healthcare facilities with respect to physician integration and alignment, Medicare and Medicaid reimbursements and provide regulatory counsel including compliance with the Stark Law, Anti-Kickback Statute, state and federal fraud and abuse regulations, HIPAA, and Emergency Medical Treatment & Labor Act (EMTALA).
