Randy Towers represents underwriters, governmental entities, borrowers, and purchasers in corporate, municipal, and high-yield project finance transactions. He also advises both public and private clients on mergers, acquisitions, divestitures, leveraged leasing, and a broad range of general business law matters.

With nearly four decades of experience, Randy possesses a comprehensive background in all aspects of project, energy, and public finance. He has served as underwriter’s counsel and bond counsel, guiding clients through the structuring, offering, placement, remarketing, and restructuring of tax-exempt and taxable municipal securities, corporate debentures, and other complex debt instruments.

Randy has advised on numerous sophisticated transactions across public and private markets. He has played key roles in major financings, such as a $330 million revenue bond offering for a scrap metal-to-rebar recycling facility, multi-phased biofuel and jet fuel production projects, as well as energy, utility, and environmental infrastructure transactions.

His experience encompasses Rule 144A offerings totaling several billion dollars in senior unsecured notes and first mortgage bonds for electric and gas utilities, structuring private placements for institutional investors, and advising on high-profile public-private partnership (P3) transactions, privatization initiatives, alternative secured funding matters, and comprehensive legal guidance for clients in the industrial and port authority sectors. This breadth of experience underscores his reputation for successfully guiding clients through multifaceted and high-value financings.
