Michael Maimone is a legal adviser and advocate who corporations turn to when confronted with critical business issues. Whether facing high-impact disputes, fending off unwanted buyers, or advising potential acquirers, clients rely on Michael to provide trusted and business-minded counsel and to fiercely defend their interests in and out of court.

From startups to established entities, Michael represents clients in hostile acquisitions, corporate privatizations and restructurings, mergers and other negotiated transactions, and proxy contests. He guides startup entities in securing financing, helps Fortune 500 companies, and foreign-based venture capitalists invest in the U.S. He also advises boards of directors on internal investigations related to alleged wrongdoings, and financial advisors in connection with the advice that they give to boards of directors.

When corporate governing boards or company owners feel threatened by a potential hostile takeover, Michael advises on defensive tactics that can help maintain their controlling interest. Likewise, he regularly advises activists and other stockholders regarding possible representation on boards of directors and in, as well as financial advisors in the context of mergers and acquisitions.

Michael also represents clients in litigation, particularly in the Delaware Court of Chancery and the Delaware Supreme Court, involving mergers and acquisitions, class and derivative actions, and general corporate law and alternative entity issues, as well as boards of directors, corporations, and stockholders in statutory appraisal actions, duties owed to stockholders, and other corporate matters.
