Megan structures and documents high yield public and project finance transactions, with a focus on tax exempt private placements and 501(c)(3) financings. She advises on innovative and complex project financings across the education, healthcare, housing, and senior living sectors, supporting transactions from initial capital raises through refinancings. When credits encounter stress or distress, she also negotiates covenant resets, forbearances, and other complex restructuring arrangements.
Megan represents institutional investors, banks, bond insurers, and other lenders purchasing or holding tax exempt and high yield public finance paper. She also acts as counsel to underwriters, placement agents, trustees, and advisors involved in complex or higher risk public and project finance transactions. In addition, Megan represents credit enhancers, liquidity providers, and other capital market participants supporting mission driven credits from start up through distress.
Her experience includes high-yield private placements, bond anticipation notes, and municipal bond offerings supporting affordable housing acquisitions and development. She has also worked on financings for public power and water authorities, port facility refinancing and capital improvement projects, and solid waste and other project financings.
Megan serves on the Emerging Leaders Council of the national Women in Public Finance organization and is an officer on the board of the Minnesota chapter of Women in Public Finance.
