Matthew Misichko focuses his practice on counseling a range of nonprofit organizations and associations, as well as privately held and family-owned entities, on formation, structuring and governance matters. Matt is valued for his clear and intelligent solutions to the often unique challenges his clients face.
Matt advises associations, public and private foundations and businesses on contracts and agreements. He is skilled in such issues as bylaws and related amendments, tax exemption applications and antitrust matters, as well as with administrative, governance and risk management issues.
Matt has particular experience drafting and negotiating resolutions and consents, management and compensation agreements, management succession plans, service agreements and buy-sell agreements.
Working with clients of all sizes, Matt has also assisted with non-solicitation and confidentiality agreements, private placement memorandums and has advised entities on advanced planning matters related to pre-liquidity planning, family office formation, capital structures of stock and Series LLC compliance.
Prior to joining the firm, Matt worked as in-house legal counsel for a nonprofit sports association, drafting and reviewing vendor agreements, sponsorship contracts and player appearances. He was also an associate at a boutique law firm and an analyst for a leading convenience store supplier.
