LaBreonna represents issuers and underwriters in public finance transactions, serving as bond counsel and underwriters' counsel in connection with municipal securities offerings. She assists clients throughout the financing process, including transaction structuring, due diligence, preparation and review of offering and closing documents, and complex executions.
Before focusing on public finance, LaBreonna advised public and private companies on capital markets and corporate transactions. Her securities experience spans initial public offerings, shelf registrations, at-the-market programs, and secondary offerings, as well as SEC reporting and compliance. She has prepared and reviewed registration statements, prospectus supplements, offering documents, legal opinions, proxy statements, and periodic reports, and has represented both U.S. and non-U.S. companies accessing the U.S. capital markets.
LaBreonna also has experience in domestic and cross-border mergers and acquisitions, including stock and asset acquisitions, joint ventures, and corporate restructurings. She has conducted and managed due diligence across multiple workstreams and advised clients on entity formation, conversions, corporate governance, and post-closing matters.
