Jahan Sharifi has deep experience representing private investment funds and other financial investors in structuring and consummating investments and acquisitions in a wide range of industries in the U.S. and around the world.

As co-chair of the Private Funds and Asset Management practice, Jahan provides counsel on investment and financing transactions of virtually all kinds, including private equity transactions, venture capital and growth equity investments, mezzanine capital, mergers and acquisitions, direct lending transactions, convertible instruments, recapitalizations, post-reorganization equity, private investments in public equity (PIPEs), special purpose acquisition companies (SPACs), joint ventures and other specialized investment structures. 

He has completed transactions in a wide range of industries, including healthcare, medical devices, pharmaceuticals, software and technology, media and internet, real estate development, financial services, consumer retail and franchised businesses, with experience doing deals in the U.S. and around the world.

In the course of these transactions, Jahan leverages his broad knowledge and experience in negotiating appropriate rights and protections, whether for minority or majority investors, for investment syndicates or for management. In structuring investments, Jahan is sensitive to his clients’ needs to both manage risk and realize returns, looking for opportunities to help them minimize or hedge transaction risk and post-closing exposure, while preserving economic upside and providing a market-efficient exit mechanism.

  • Represented a consumer business in a series of acquisitions of technology platforms and assets as part of a strategic expansion of the business in advance of a private equity fundraise
  • Represented an industrial company in a $75 million round of strategic investment in a green energy company in preparation for a private equity offering
  • Represented a home medical equipment company as borrower in the refinancing of its senior secured loan and restructuring of its ownership into a trust
  • Represented a hedge fund in making a PIPE investment to provide financing to a special purpose acquisition company for the acquisition of a group of specialty commercial real estate finance companies
  • Represented an investment fund in negotiating a forward purchase agreement in a newly-formed SPAC
  • Represented a hedge fund in private convertible note financing of family-owned Latin American pharmaceutical distribution business
  • Represented hedge funds in negotiating joint ventures to provide shipping finance, to invest in music royalty interests and to fund litigation claims
  • Represented a real estate development company in negotiating joint venture terms for development in Kazakhstan
  • Represented a family office in acquisitions of a specialty pharmacy and home medical equipment distributor
  • Represented an investment fund in the acquisitions of leading factoring and commercial finance business
  • Represented a hedge fund in the equity and debt recapitalization of a medical device company
  • Represented a hedge fund in the equity recapitalization of a supplier of natural beauty products
  • Represented a hedge fund in the pre-IPO secondary purchase of equity in a Chinese media and entertainment company
  • Represented a Canadian marketplace lender in the acquisition of a U.S.-based consumer lending platform.
  • Represented a shareholder group in the sale of a Mexican pharmaceutical distribution company
  • Represented the lead shareholder in the sale of a radio and digital media company
  • Represented hedge funds in multiple early- and late-stage venture capital investments and growth equity, and secondary purchases of private equity securities
  • Represented a hedge fund in negotiating co-investment agreement with real estate marketplace lending platform
  • Represented startup companies in establishing online lending platforms and raising equity capital and debt commitments for these companies, including joint ventures with banks and other organizations
  • Represented marketplace lending platforms in structuring master participation arrangements for outside investors.
  • Represented the sponsor in the formation of an investment fund focused on investing in marketplace lending assets
  • Represented the management team in the formation and capitalization of a specialty finance company providing mezzanine finance to the branded restaurant sector and its Small Business Investment Company (SBIC) subsidiary, also represented the company in mezzanine debt and preferred equity financing transactions
  • Represented the sponsor in negotiating an anchor investment from a strategic investor in a newly-formed infrastructure fund management company
  • Represented a fund management company in the negotiation of managed account agreements
  • Represented a financial investor in providing seed capital for a newly-formed hedge fund in Brazil
  • Represented the lead investor in providing equity funding in the formation and capitalization of a sidecar reinsurance vehicle
  • Represented a private equity fund in negotiating a joint venture operating in Ghana
  • Represented the initial financial investor in a leading executive services firm that was previously wholly-owned by its partners
