Carolyn Merritt advises hospitals, health systems and other institutional providers on the regulatory, compliance and operational questions that govern how they do business, with a specific emphasis on compliance with fraud and abuse laws.
Carolyn has extensive experience advising clients on healthcare fraud and abuse matters, including the federal Stark Law, Anti-Kickback Statute and state fraud and abuse laws. She prepares, reviews and negotiates the full range of agreements with healthcare providers, including those related to employment, professional services, management and recruitment arrangements, and translates what each one means for the client's regulatory exposure. She counsels hospital clients through comprehensive audits of their financial relationships with physicians and has guided clients through filing disclosures under the CMS Self-Referral Disclosure Protocol.
Carolyn advises clients across the broader regulatory landscape as well, including counsel on the Emergency Medical Treatment and Labor Act (EMTALA), healthcare privacy, reimbursement issues and risk management.
She also supports hospitals and other providers through changes of ownership, handling regulatory due diligence and the contractual and operational issues that surface when provider assets change hands. Before joining Barnes & Thornburg, Carolyn practiced healthcare law at a global law firm.
