Brent A. Coudron is a partner in Barnes & Thornburg's Indianapolis office where he is a member of the Corporate Department. Brent focuses his practice on a variety of corporate, securities and regulatory matters, including mergers and acquisitions, joint ventures, corporate reorganizations (including mutual holding company conversions), private equity investments, corporate finance transactions, securities offerings and the regulation of insurance holding company systems.
Brent has experience in structuring and negotiating complex stock and asset purchases, mergers, conversions, reorganizations and joint venture arrangements on behalf of both public and private company clients. He also has experience advising insurance and financial service companies and banks in connection with various transactional matters, including domestic and cross-border alternative financing and derivative transactions (including regulatory reserve financings) and complex reinsurance arrangements. Brent has been involved in a number of innovative transactions for the transfer of insurance-related risks to the capital markets, including embedded value and closed block securitizations.
