Combining her in-house knowledge and skills from her time with a global retail brand and a legal technology company, Haley Bergman Fiallo helps financial industry clients navigate complex business transactions, financings and negotiations. She is driven to help them find the right solutions at the right time.

Haley counsels clients – lenders, commercial banks, and borrowers – regarding financing transactions, as well as venture capital and real estate investments and contracts. Prior to joining Barnes & Thornburg, Haley gained experience with the New York office of the international law firm Milbank (formerly Milbank, Tweed, Hadley & McCloy LLP), advising on financial restructuring transactions while helping clients create value and manage organizational change.

She is able to see the big picture while navigating the little details, comfortably and easily assessing potential legal issues and collaborating to find appropriate resolutions and solutions. Haley counsels financial service industry clients and borrowers in a variety of debt financing transactions and the acquisition or divestment of assets, and venture capital transactions. She also conducts review of business line practices and procedures to mitigate risk and to help devise practical solutions. 

Haley is skilled at drafting effective term sheets, non-disclosure agreements, adviser agreements, consulting agreements, along with other important corporate documents. She also analyzes financial statements, economic data and corporate financial projections.

From her prior professional life, Haley knows first-hand the challenges executives, risk managers and quality control teams face, and as such works with executives at all levels to ensure they understand how certain regulations and laws can affect their business.

During law school, Haley served as an extern for the Honorable Judge Craig Gargotta, a bankruptcy judge in the U.S. District Court for the Western District of Texas.

Experience
  • Represented an ad hoc committee of creditors of a silicon and quartz products producer, collectively holding over $400 million of the second lien notes, in comprehensive restructuring support agreement
  • Represented an ad hoc group of note holders of a Houston-based oil and gas company as part of a debt-for-equity swap with bondholders that reduced $568 million in debt
  • Represented a New York based electricity generator in restructuring plan that cut the power generation company's debt load by $1 billion
  • Negotiated the comprehensive restructuring transaction whereby the debtor converted over 80% of its secured debt to equity and entered a new $275 million exit facility

These matters occurred prior to joining Barnes & Thornburg.
