Having a diverse background in law, banking and international relations, Andrew Fried primarily assists corporate clients with ongoing business operations. In particular, Andrew advises fund clients and private companies on a variety of contractual matters related to securities transactions and operational agreements, among others.

Having a diverse background in law, banking and international relations, Andrew Fried primarily assists corporate clients with ongoing business operations. In particular, Andrew advises fund clients and private companies on a variety of contractual matters related to securities transactions and operational agreements, among others.

Andrew provides general counsel on a range of business matters, and drafts nondisclosure and confidentiality, consulting, vendor, software license and other agreements, along with incentive plans.

A former litigator, Andrew has handled complex commercial litigation matters ranging from contract, securities and banking issues to personal injury defense, labor and employment disputes, and intellectual property. He also conducted investigations including review of offering materials, financial filings and disclosures, internal corporate documents, and communications. 

Andrew has investigated and replied to complaints brought by state and federal agencies for alleged violations of employment and securities law. He appeared in state and federal court and bankruptcy proceedings, and conducted fact and expert discovery, as well as engaged in proceedings to obtain discovery from foreign nationals in international jurisdictions. 

In addition to his time in private practice, Andrew worked in-house as an assistant vice president in the Corporate Risk and Compliance Group of Wells Fargo’s Wholesale Banking business. In that role, he developed governance and oversight infrastructure for compliance with the Foreign Corrupt Practices Act and the UK Bribery Act, with a focus on ensuring adherence to all requirements related to third-party intermediary on-boarding, risk management and monitoring.  

Andrew twice represented the United States at the International Moot Courts in The Hague, Netherlands, where teams from throughout Europe demonstrated legal principles and judicial procedures indicative to their home countries for the benefit of international lawyers, journalists and students. 

Prior to attending law school, Andrew administered and managed U.S. Agency for International Development (USAID)-funded energy development projects in the Republic of Georgia and was an acting country-desk officer in the East Asia and Pacific Bureau at the U.S. Department of State.
